This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and TaskSuper ("Company," "We," or "Us") governing your use of TaskSuper scheduling software and services ("Software"). By accessing, downloading, installing, or otherwise using the Software, you agree to be bound by the terms of this Agreement.
- LICENSE GRANT TaskSuper grants you a non-exclusive, non-transferable, limited license to access and use the Software solely for your internal business operations related to scheduling and management of language services. You may not sublicense, sell, distribute, lease, rent, or transfer this Software or your rights under this Agreement.
- RESTRICTIONS
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;
- Modify, adapt, or create derivative works based on the Software;
- Circumvent any security measures protecting the Software;
- Remove, obscure, or alter copyright notices or other proprietary rights notices.
- OWNERSHIP All rights, title, and interest in and to the Software, including intellectual property rights, are owned exclusively by TaskSuper. This Agreement does not transfer ownership to you but grants only a limited right to use under the conditions herein.
- CONFIDENTIALITY You acknowledge the Software contains proprietary and confidential information of TaskSuper. You agree not to disclose such confidential information to third parties without TaskSuper’s express written consent.
- TERMINATION This Agreement is effective until terminated. TaskSuper may terminate your access to the Software immediately if you fail to comply with any terms or conditions. Upon termination, you must immediately cease using the Software and delete all copies from your devices.
- DISCLAIMER OF WARRANTY The Software is provided "AS IS" without warranty of any kind. TaskSuper disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, TaskSuper shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the Software.
- INDEMNIFICATION
You agree to indemnify, defend, and hold harmless TaskSuper, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including attorney's fees, arising out of or related to your use or misuse of the Software or breach of this Agreement.
- GOVERNING LAW
This Agreement shall be governed by and construed under the laws of the jurisdiction in which TaskSuper’s principal business operations are located, excluding its conflict of law principles.
- ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between TaskSuper and you concerning the Software and supersedes all prior or contemporaneous agreements, written or oral.
- MODIFICATION
TaskSuper reserves the right to modify this Agreement at any time. You will be notified of modifications via email or through notifications in the Software interface. Continued use following modifications constitutes acceptance of the amended Agreement.
By using the Software, you confirm that you have read, understood, and agreed to be bound by this Agreement.
